Terms and Condition
Please read these Terms and Conditions (“Terms”) carefully before using Runteller, a payment service
platform owned and operated by 3Lyondot Limited (“we” , "us" or
“our”).
By registering, accessing, or using Runteller services, you
agree to be bound by these Terms. If you do not agree with
these Terms, you must refrain from using our services.

Definitions

Runteller: A proprietary and patented offline-first financial platform that enables individuals and businesses to perform secure online and offline financial transactions using various device-to-device communication technologies.

User: Any person or business entity that has registered for or uses any service provided via the Runteller platform.

Offline Transaction: Any transaction executed without real-time internet access, transmitted using encrypted SMS, Bluetooth LE, NFC, QR, or ultrasonic sound.

Online Transaction: Transactions processed through the internet via our API or in-app wallet interface.

Value Added Services (VAS): Additional non-core services such as airtime purchase, electricity bill payment, cable TV subscription, and other digital utilities accessible through Runteller.

UTA (Unified Transaction Access): Our proprietary backend infrastructure that handles transaction certification, cash fingerprinting, balance verification, and audit trails.

SDK Software Development Kit provided by Runteller for integration with third-party financial or retail applications.

Eligibility and Account Registration
You are eligible to use Runteller if:

You are at least 18 years of age and capable of entering into legally binding contracts.

You register with accurate, up-to-date, and complete personal or business information.
-
You agree to undergo any required identity verification (KYC/KYB) procedures.
Account Types:

Personal Account: For individuals using Runteller for personal transactions. Upgradable to Business Account upon KYB documentation.

Business Account: For companies or merchants accepting payments or distributing funds. Requires KYB compliance.

POS Sub-Accounts: Linked devices under a Business Account used for physical transaction collection.
We reserve the right to reject or suspend account registration if the information is incorrect, fraudulent, or violets any applicable regulations

Services and Functionalities
Runteller provides access to the following services::

Peer-to-peer wallet transfers (online and offline)

Device-to-device transactions via QR, NFC, Bluetooth LE, soundwave, and SMS
-
Airtime and data purchase across supported telcos

Utility bill payments (PHCN, DSTV, GOTV, etc.)
-
Encrypted withdrawal tokens and receipt verification
-
POS-based merchant collections
-
Synchronization of offline transactions upon reconnection
-
Access to our SDK for third-party developers and partners
We may, at our discretion, introduce new services or discontinue existing ones with prior notice where necessary.

Offline Transactions
Offline transactions are a core feature of Runteller. These are initiated without internet using:

Encrypted SMS

NFC tap
-
QR scanning
-
Bluetooth handshake
-
Ultrasonic data transmission
Conditions for Offline Use:

Users must preload wallets with sufficient balance
-
before initiating offline transfers.
-
Transactions are signed with tracking IDs using our patented system.
-
Transactions are irreversible once confirmed on both devices.
-
Users agree to sync their devices periodically to maintain ledger integrity.
Runteller is not liable for failed offline transactions caused by device tampering, custom ROMs, or rooted/jailbroken devices.

User Responsibilities
As a Runteller user, you are responsible for:

Safeguarding your mobile device and login credentials.

Keeping your transaction PIN confidential.
-
Not sharing OTPs, withdrawal tokens, or signed transaction data with third parties.
-
Monitoring your transaction history and immediately reporting unauthorized activity.
-
Using the service in compliance with all applicable financial, anti-money laundering (AML), and counter-terrorist financing (CFT) laws.

Transaction Fees, Limits, and Settlements
-
We reserve the right to set, review, and adjust fees for transactions.

Fee tables are available in-app and are subject to periodic updates.
-
Wallet funding and withdrawals may be subjected to limits based on your KYC/KYB level.

Offline transactions are queued and settled upon synchronization.
-
Business Account settlements are processed within a maximum of T+1 working day after reconnection.

Data Privacy and Security
Runteller is committed to protecting your data under NDPR, Nigeria's Data Protection Act, and other international standards including GDPR.

All user data is encrypted both in transit and at rest.
-
Transactional SMS is encrypted using in-house cryptographic protocols.
-
User location, device ID, and transfer metadata may be logged to prevent fraud and unauthorized duplication.

We do not sell or share user data with third parties without explicit consent except as required by law or for service delivery purposes.

Intellectual Property Rights
Runteller is a patented invention developed by 3lyondot Limited. All intellectual property rights in the platform, SDK, designs, logos, transaction model, chunked-cash logic, and Unified Transaction Access system belong to 3lyondot Limited.
Users and third-party partners may not: -
Reuse or resell platform logic.

Reverse-engineer or clone the platform.
-
Develop competing platforms using Runteller source components.
We reserve the right to enforce our rights against unauthorized duplication or distribution.

Data Protection Officer and Compliance
3lyondot Limited has appointed a Data Protection Officer (DPO) who oversees all privacy and compliance matters.
We maintain internal compliance processes including:-
AML/CFT policy adherence

Periodic penetration testing and audit logging

Vendor security assessment
-

Termination, Suspension, and Account Closure
We may suspend or terminate your access if:

You breach any part of these Terms
-
Your account is linked to fraudulent, suspicious, or unlawful activities
-
Directed by a court or regulatory authority
You may request account closure at any time via support, subject to final balance settlement and security verification.

Dispute Resolution and Legal Jurisdiction

Users must first report disputes via Runteller Support.
-
If unresolved within 14 working days, cases may be escalated to mediation under industry-recognized bodies.

All disputes shall be governed by the laws of the Federal Republic of Nigeria.

Legal claims or arbitration shall be held in Abuja unless otherwise agreed.

Modifications to Terms
We may revise these Terms periodically to reflect regulatory changes, new features, or risk mitigations.

Updated Terms will be posted in the app and via email or SMS.

Continued usage after notification implies acceptance of the updated Terms.
